Throughout the past twelve months, our team was providing comprehensive legal support to Podravka’s successful acquisition of Fortenova Group's agricultural division, a landmark M&A transaction in the Central and South East Europe.

The responsibility we took was immense, but the chance to be involved in something so impactful made it all worthwhile.

In our great team, raised not only on Čokolino, Linolada, and Vegeta but also on tough love, high expectations, and an endless supply of unsolicited life advice, we’ve developed personalities that some call stubborn, but we prefer determined. Some say we’re nostalgic, but we just know that everything really was better before, especially when “work-life balance” was still just a theoretical concept.

The scope of our legal support to Podravka covered everything from the incorporation of Podravka Agri to handling M&A transactional documentation for the Agri business acquisition, legal negotiations with EBRD on its EUR 50M equity investment, structuring and negotiating legal terms of EUR 283M club loan facility provided by Privredna banka Zagreb d. d., Erste&Steiermärkische Bank d.d., Zagrebačka banka d.d., and OTP banka d.d., and representing our client before The Croatian Competition Agency (CCA) and coordination of the regional legal teams in their work.

A yearlong project was also a testament to the power of collaboration, resilience, and thoughtful decision-making in challenging moments. Together with all other legal teams involved we turned challenges into strategy and expectations into milestones.

Though our childhood flavors changed along the way and what once tasted like childhood now carries the weight of experience, one rule has always stayed the same:
